End User License Agreement

This End User License Agreement (“Agreement”) is between you and Meridian Labs LLC (“Licensor”) for the Lumia mobile application (“App”). By downloading, installing, or using the App, you agree to be bound by this Agreement.

1. License Grant

Subject to your compliance with this Agreement, the Licensor grants you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the App on a device that you own or control, solely for your personal, non-commercial purposes.

2. License Restrictions

You may not:

• Copy, modify, or distribute the App or any part of it
• Reverse-engineer, decompile, disassemble, or attempt to derive the source code of the App
• Rent, lease, lend, sell, sublicense, or otherwise transfer the App or your license to any third party
• Remove, alter, or obscure any proprietary notices, labels, or marks on the App
• Use the App for any commercial purpose without the Licensor's written consent
• Use the App to develop a competing product or service
• Circumvent any technical limitations or security measures in the App
• Access the App's APIs or backend services except through the App's intended interface

3. Intellectual Property

The App and all content, features, and functionality (including but not limited to text, graphics, logos, icons, card artwork, images, audio, software, and AI-generated content) are owned by Meridian Labs LLC and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

This Agreement does not grant you any rights to the Licensor's trademarks, service marks, or trade names.

4. AI-Generated Content

The App uses artificial intelligence to generate personalized content. You acknowledge that:

• AI-generated content is provided for entertainment and personal reflection only
• AI-generated content may contain errors, inaccuracies, or biases
• You will not represent AI-generated content as professional advice of any kind
• The Licensor does not guarantee the accuracy, completeness, or reliability of AI-generated content
• AI-generated content within the App remains the intellectual property of Meridian Labs LLC and may not be reproduced or distributed outside the App for commercial purposes

5. User-Generated Content

You retain ownership of content you create within the App (such as journal entries and community posts). By submitting content to the App, you grant the Licensor a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content within the App as necessary to provide the service.

6. Subscriptions and In-App Purchases

The App may offer subscriptions and in-app purchases processed through the Apple App Store. These transactions are subject to the Apple App Store terms and conditions. The Licensor is solely responsible for the App and its content, not Apple.

7. Third-Party Services

The App integrates with third-party services including:

• Authentication providers (Google, Apple) for account sign-in
• AI services (Google Gemini) for content generation
• Cloud services (Google Cloud Platform) for data storage and processing
• Apple Push Notification service for notifications

Your use of these third-party services is subject to their respective terms and privacy policies. The Licensor is not responsible for the availability, accuracy, or practices of third-party services.

8. Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information. By using the App, you consent to the practices described in the Privacy Policy.

9. Disclaimer of Warranties

THE APP IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

THE LICENSOR DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE LICENSOR DOES NOT WARRANT THE ACCURACY OR RELIABILITY OF ANY CONTENT PROVIDED THROUGH THE APP, INCLUDING AI-GENERATED CONTENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MERIDIAN LABS LLC BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING FROM:

• YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE APP
• ANY CONTENT OBTAINED FROM THE APP, INCLUDING AI-GENERATED CONTENT
• UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA
• ANY THIRD-PARTY CONDUCT OR CONTENT ON THE APP

THE LICENSOR'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE APP IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR FIFTY DOLLARS ($50 USD), WHICHEVER IS GREATER.

11. Indemnification

You agree to indemnify and hold harmless Meridian Labs LLC, its affiliates, officers, directors, employees, and agents from any claims, damages, obligations, losses, liabilities, costs, or expenses arising from your use of the App or violation of this Agreement.

12. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you fail to comply with any of its terms. Upon termination, you must cease all use of the App and delete all copies from your devices.

The Licensor may terminate or suspend your access to the App at any time, with or without cause, with or without notice.

Sections 3, 4, 9, 10, 11, and 15 survive termination of this Agreement.

13. Export Compliance

You agree not to export or re-export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained.

14. U.S. Government End Users

The App is a “commercial item” as defined in 48 C.F.R. §2.101, and government end users acquire it with only those rights set forth in this Agreement.

15. Governing Law

This Agreement is governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions.

16. Apple-Specific Terms

If you downloaded the App from the Apple App Store, the following additional terms apply:

• This Agreement is between you and Meridian Labs LLC only, not Apple. Meridian Labs LLC is solely responsible for the App and its content.
• The license granted to you is limited to a non-transferable license to use the App on any Apple-branded device that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions.
• Meridian Labs LLC, not Apple, is responsible for any claims relating to the App, including but not limited to product liability claims, claims that the App fails to meet legal or regulatory requirements, and claims arising under consumer protection or similar legislation.
• In the event of any failure of the App to conform to any applicable warranty, you may notify Apple and Apple will refund the purchase price (if any) of the App. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
• Meridian Labs LLC, not Apple, is responsible for addressing any user or third-party claims relating to the App or your possession and use of the App, including but not limited to intellectual property infringement claims.
• Apple and its subsidiaries are third-party beneficiaries of this Agreement. Upon your acceptance of this Agreement, Apple will have the right (and will be deemed to have accepted the right) to enforce this Agreement against you as a third-party beneficiary.
• Meridian Labs LLC is responsible for providing any maintenance and support services for the App, as specified in this Agreement or as required by applicable law. Apple has no obligation to provide maintenance and support services for the App.

17. Severability

If any provision of this Agreement is found to be unenforceable, the remaining provisions will continue in full force and effect.

18. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, constitutes the entire agreement between you and Meridian Labs LLC with respect to the App and supersedes all prior agreements.
